Scope and price

Every project starts with a one-page scope that lists what is included, the fixed price and the dates. Anything not on that page is a change request and is quoted separately before work starts.

Payment

Typically 50 % to start, 50 % on delivery, unless the scope says otherwise. Hosted / rented software is billed per the agreed cycle (monthly, quarterly or yearly) in advance. Unpaid rented systems may be paused after the grace period on the invoice; data is never deleted while paused.

Ownership

Custom code written for you under a fixed-price project is yours on full payment. Our products (FORMA, ZainiPOS, ZainiPrint, StaffManager Pro, Licence Guard) remain our property and are licensed to you for the term of the agreement. Your data is always yours and can be exported at any time.

Hosting and care

Where we host, we provide SSL, daily backups, cron monitoring and a monthly upgrade window. We aim for 99.5 % availability but depend on the hosting provider; we do not accept liability for their outages.

Compliance

UAE e-invoicing is submitted only through an MoF-accredited service provider nominated by the client in EmaraTax. The client remains responsible for the accuracy of its invoices and for its own tax registration.

Liability

Our total liability for any project or service is limited to the fees paid for it in the preceding 12 months. We are not liable for indirect or consequential loss.

Law

These terms are governed by the laws of India. Disputes will first be discussed in good faith; failing that, the courts of Lucknow, Uttar Pradesh have jurisdiction.
